Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Kulayo mobile application and website (collectively, the "Services") operated by Kulayo ("we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

You must be at least 13 years old (or 16 years old in the European Economic Area) to use Kulayo. By using our Services, you represent that you meet this age requirement. If you are using the Services on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

To access most features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account information up to date
• Maintain the security of your password and account
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities that occur under your account

You may not create an account using a false identity or impersonate another person. We reserve the right to terminate accounts that violate these Terms.

3. Use of the Services

Permitted Use

You may use Kulayo to discover and book yoga classes, connect with teachers and studios, share content related to yoga and wellness, and participate in community features.

Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Harass, abuse, threaten, or harm other users
• Post false, misleading, or fraudulent content (including fake reviews)
• Impersonate any person or entity
• Scrape, crawl, or use automated tools to access the Services
• Attempt to gain unauthorised access to any part of the Services
• Introduce viruses, malware, or other harmful code
• Use the platform to spam, advertise, or solicit users outside of authorised features
• Circumvent any fees or payment systems
• Violate any third-party rights, including intellectual property rights

4. Teachers and Studios

If you list as a teacher or studio on Kulayo ("Provider"), you additionally agree to:

• Provide accurate information about your qualifications, classes, and pricing
• Deliver services as described to students who have booked and paid
• Comply with all applicable laws and regulations in your jurisdiction
• Maintain appropriate insurance as required by local law
• Handle cancellations and refunds in accordance with your stated policy and our platform guidelines

Kulayo acts as a marketplace connecting Providers with students and is not responsible for the quality, safety, or legality of services offered by Providers. Providers are independent contractors, not employees or agents of Kulayo.

5. Bookings and Payments

Booking

When you book a class or service through Kulayo, you enter into a direct agreement with the Provider. Kulayo facilitates the transaction but is not a party to that agreement.

Payments

All payments are processed through our third-party payment providers. By making a payment, you agree to their terms and conditions. Kulayo collects a service fee on transactions made through the platform.

Cancellations and Refunds

Cancellation and refund policies vary by Provider. Each Provider sets their own cancellation policy, which is displayed before you complete a booking. Please review the policy before booking. In the event of a dispute, you may contact our support team for assistance.

6. User Content

Your Content

You retain ownership of content you post on Kulayo (photos, posts, reviews, etc.). By posting content, you grant Kulayo a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute your content within our Services for the purpose of operating and improving the platform.

Content Standards

You are solely responsible for the content you post. Content must not:

• Be false, misleading, or defamatory
• Infringe any third-party intellectual property, privacy, or other rights
• Be obscene, offensive, or discriminatory
• Contain spam, advertising, or unsolicited promotions
• Violate any applicable law or regulation

We reserve the right to remove content that violates these standards without notice.

7. Intellectual Property

The Kulayo name, logo, app design, and all platform content created by us are owned by Kulayo and protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written consent.

8. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand our data practices.

9. Third-Party Services

Our Services may integrate with or contain links to third-party services (such as Apple Maps, payment processors, or social media). We are not responsible for the content or practices of third-party services. Your use of such services is governed by their respective terms and privacy policies.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. KULAYO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

KULAYO IS NOT RESPONSIBLE FOR ANY PHYSICAL INJURY, PROPERTY DAMAGE, OR OTHER HARM RESULTING FROM YOUR PARTICIPATION IN YOGA CLASSES OR OTHER ACTIVITIES ARRANGED THROUGH THE PLATFORM. YOU PARTICIPATE IN ANY PHYSICAL ACTIVITY AT YOUR OWN RISK AND SHOULD CONSULT A MEDICAL PROFESSIONAL BEFORE BEGINNING ANY EXERCISE PROGRAMME.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KULAYO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

KULAYO'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KULAYO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kulayo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

You may stop using our Services and delete your account at any time. We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or for any other reason with or without notice.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and limitation of liability) will survive.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising from these Terms or your use of the Services that cannot be resolved through good-faith negotiation shall be subject to binding arbitration, unless prohibited by applicable law.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect intellectual property rights or prevent imminent harm.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting a notice in the app or by email. The updated Terms will be effective upon posting. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

16. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision is not a waiver of our right to do so in the future. These Terms constitute the entire agreement between you and Kulayo regarding the Services.
